Looply User Agreement
Welcome to Looply. This User Agreement ("Agreement") governs your use of the Looply website, applications, and services (collectively, the "Platform"). By accessing or using Looply, you agree to be bound by this Agreement and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you may not use our Platform.

Eligibility
By using Looply, you represent that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are using the Platform on behalf of a business or entity, you represent that you have the authority to bind that entity to this Agreement.
You must be a natural person who is legally able to enter into contracts. You may not use the Platform if you are under the age of 18 or if you are prohibited by law from using the Platform.

Account Registration
If you want to use the functions of the website, you must register for an account. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for safeguarding your password and for all activities that occur under your account.
You are solely responsible for maintaining the confidentiality of your account and password. You agree to notify us immediately of any unauthorized use of your account.

Privacy Policy
Your use of the Platform is also governed by Looply's Privacy Policy, which explains how we collect, use, disclose, and protect your personal information. By using the Platform, you consent to the practices described in our Privacy Policy. Our Privacy Policy is available at Privacy Policy page and forms part of this Agreement.

Purchase Pricing and Payment
Placing an order on Looply constitutes an offer to purchase the listed item at the price displayed on the Platform at the time of your order. All prices are displayed in U.S. Dollars and Looply does not currently add or collect sales tax at checkout. If tax collection becomes required in the future, applicable taxes will be calculated and shown at checkout before payment. Shipping fees, which will be calculated and added to your order total during checkout. We reserve the right to refuse or cancel any order for any reason, including errors in pricing or item description, or if the item is no longer available.
We accept major credit cards, debit cards, and other payment methods as indicated on the Platform. Payment is due in full at the time of order confirmation. We will charge your selected payment method for the total order amount, including taxes, shipping fees etc upon confirmation of your order. We are not responsible for any payment processing fees imposed by your financial institution.

Commodity Authentication
We stand behind the authenticity of every item we sell. Our team of experts rigorously inspects each item. If an item purchased from Looply is proven to be inauthentic, we will provide a full refund, including shipping costs.

Return Policy
We want you to be satisfied with your purchase. Eligible items may be returned in accordance with our Return Policy, which is incorporated into these Terms by reference. Items must be returned in their original condition with all Looply tags attached.  Refunds will be issued to the original form of payment.

Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, images, audio clips, software, and the selection and arrangement thereof, is the property of Looply, its licensors, or its partners and is protected by United States and international copyright laws. You may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works from, transmit, or in any way exploit any such content without Looply's express prior written permission, except as otherwise explicitly permitted under these Terms of Service (e.g., sharing product links via social media).

Trademark
Looply, the Looply logo, and other trademarks, service marks, graphics, and logos used in connection with the Platform are trademarks or registered trademarks of Looply in the United States and other countries. Other trademarks, product names, company names, logos, and branding mentioned on the Platform may be the trademarks of their respective owners. You may not display or use the Looply trademarks without Looply's prior written consent.

Prohibited Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
(a) In any way that violates any applicable federal, state, local, orinternational law or regulation;
(b) For the purpose of exploiting,harming, or attempting to exploit or harm minors in any way;
(c) To transmit, or procure the sending of, any advertising orpromotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation;
(d) To impersonate orattempt to impersonate Looply, a Looply employee,another user, or any other person or entity;
(e) To engage in anyother conduct that restricts or inhibits anyone's use orenjoyment of the Services, or which, as determined by us, mayharm Looply or users of the Services, or expose them to liability.

Indemnification
You agree to defend, indemnify, and hold harmless Looply, its parents, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with:
(a) Your access to or use of the Platform;
(b) Your violation of any term of these Terms of Service;
(c) Your violation of any third-party right, including without limitation any intellectual property right; or
(d) Any claim that your use of the Platform caused harm to a third party.
This obligation will survive the termination of your account or your use of the Platform.

Limitation of Liability
To the fullest extent permitted by applicable law, Looply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the services.

Disclaimer of Warranties
You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet orthe Website will be free of viruses or other destructive code. Youare responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virusprotection and accuracy of data input and output. To the fullest extent provided by law, we will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of the website or any services or items obtained through the website. Your use of the website, its content, and any services or items obtained through the website is at your own risk. The website, its content, and any services or items obtained through the website are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.

Modification and Termination
Looply reserves the right, at its sole discretion, to modify or replace any part of these Terms of Service at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Platform.
Looply may suspend or terminate your account and deny you any and all use of the Platform for any reason, including without limitation:
(a) Breach of these Terms of Service or any incorporated policies or guidelines;
(b) Requests by law enforcement or other government agencies;
(c) A request by you (self-initiated account termination);
(d) Discontinuation or material modification to the Platform or any part there of;
(e) Unexpected technical or security issues or problems;
(f) Extended periods of inactivity;
(g) Engagement in fraudulent or illegal activities; or
(h) Non-payment of any fees owed.

Governing Law
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Waiver and Severability
No waiver by Looply of any term or condition set out inthese Terms shall be deemed a further or continuing waiver ofsuch term or condition or a waiver of any other term orcondition, and any failure of Looply to assert a right orprovision under these Terms shall not constitute a waiver of suchright or provision. If any provision of these Terms is held by acourt or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that there maining provisions of the Terms will continue in full force and effect.

And Entire Agreement
The Terms of Use, our Privacy Policy, and any specific termsrelated to buying, selling, or trading constitute the sole andentire agreement between you and Looply regarding theWebsite and supersede all prior and contemporaneousunderstandings, agreements, representations, and warranties, both written and oral, regarding the Website.
